Stanbic IBTC Holdings PLC is a Nigerian publicly listed financial-services holding company and a member of the South Africa-based Standard Bank Group. Through its subsidiaries, the group provides personal and business banking, corporate and investment banking, pensions, asset management, insurance, stockbroking, trusteeship, venture capital, payment services and other financial solutions.
The present holding company was incorporated on 14 March 2012 and listed on the Nigerian Exchange on 23 November 2012. Its history, however, traces back to Investment Banking & Trust Company Limited, founded in 1989.
Full history
1989: Establishment of IBTC
Investment Banking & Trust Company Limited, commonly called IBTC, was incorporated as a private limited-liability company on 2 February 1989.
It obtained a merchant-banking licence from the Central Bank of Nigeria in February 1989 and commenced operations on 1 March 1989. The business initially concentrated on merchant banking, corporate finance, investment banking and financial advisory services.
2002: Conversion to universal banking
Following the Central Bank of Nigeria’s introduction of universal-banking guidelines, IBTC’s merchant-banking licence was converted to a universal-banking licence in January 2002.
This allowed the institution to expand beyond merchant banking into commercial and retail-banking services.
2005: Public listing and banking consolidation
IBTC became a public company and listed its shares on the Nigerian Stock Exchange, now the Nigerian Exchange Limited, in 2005.
During the Central Bank of Nigeria’s banking-industry consolidation programme, IBTC merged with Chartered Bank PLC and Regent Bank PLC in December 2005.
The enlarged institution adopted the name IBTC Chartered Bank PLC on 25 January 2006.
2007: Merger with Stanbic Bank Nigeria
On 24 September 2007, IBTC Chartered Bank PLC merged with Stanbic Bank Nigeria Limited.
Stanbic Bank Nigeria was wholly owned by Stanbic Africa Holdings Limited, which is itself a subsidiary of Standard Bank Group Limited of South Africa.
Following the transaction:
- Stanbic Africa Holdings acquired a 50.1% majority interest in the enlarged bank.
- The combined institution became Stanbic IBTC Bank PLC, subsequently Stanbic IBTC Bank Limited.
- The business gained access to Standard Bank Group’s African and international banking network, technology, capital and institutional expertise.
2010–2012: Transition to a holding-company structure
The Central Bank of Nigeria’s Regulation on the Scope of Banking Activities and Ancillary Matters No. 3 of 2010 required banking groups either to divest from non-core banking businesses or establish holding-company structures.
Stanbic IBTC chose the holding-company model to retain its banking, pension, asset-management, stockbroking, trusteeship, insurance and other financial-services businesses within one group.
Stanbic IBTC Holdings PLC was incorporated on 14 March 2012. The group formally adopted the holding-company structure on 1 November 2012.
On 23 November 2012, Stanbic IBTC Holdings PLC was listed on the Nigerian Exchange following the delisting of Stanbic IBTC Bank Limited as the former listed parent. The holding company now trades under the NGX ticker STANBIC.
Diversification and expansion
The holding-company structure enabled Stanbic IBTC to develop into an integrated financial-services group serving individuals, families, small and medium-sized businesses, major corporations, governments, public institutions and international clients.
Its activities expanded across four principal client segments:
